Introduction to the Code
What is the Code?
At Insmed, we are guided by a commitment to integrity in all we do—from the earliest stages of research to how we support the patients taking our therapies.
The Code is our compass for how to operate with integrity as we pursue our mission to transform the lives of patients with serious and rare diseases. It provides guidance to help us comply with the laws, regulations, and industry codes that apply to our business, and it serves as a reference if we have questions or are faced with a dilemma and aren’t sure how to proceed. It’s important to understand that the Code will not cover every situation we might face; rather, it gives us a baseline understanding of many key topics related to ethics and integrity, and how we approach them as an organization.
Every employee’s responsibility
Every employee plays a vital role in upholding the highest standards of business ethics. We rely on each of you—across Insmed and our subsidiaries—to live our Code and protect the trust placed in us.
- Read and regularly revisit the Code
- Conduct business the right way, every day
- Ask questions when unsure
- Report concerns promptly
- Never retaliate against anyone who raises a concern
Because we are in the business of transforming patients’ lives, Insmed takes violations of the Code very seriously. Those who do not follow it will face consequences, up to and including termination.
Every manager’s responsibility
As a people manager, you have an added responsibility to lead by example and set the tone for ethical conduct. Managers are expected to build trust and create an environment where employees feel supported and heard.
- Be an ambassador for our culture and values
- Embrace a risk-management mindset
- Make objective, business-driven decisions
- Hold employees accountable to the Code
- Foster open dialogue
It is your responsibility to listen carefully, respond appropriately, and surface issues transparently to ensure they are addressed.
Supplier Code of Conduct
Insmed also maintains a Supplier Code of Conduct that lays out expectations of our business partners and their employees to observe high standards of integrity and ethics while conducting business for Insmed. The Supplier Code of Conduct is consistent with this Code, and we will adjust our business relationships if we believe a partner has not met these standards.
Resources and guidance
Beyond the Code, we offer many resources, including policies, standard operating procedures, and training, that dive more deeply into specific topics. The training you receive at Insmed will be tailored to your role and function with the goal of giving you the tools necessary to do your job appropriately and compliantly.
A message from our Chief Compliance Officer
Thank you for taking the time to read through and get to know our Code. It’s an exciting time to be at Insmed, and I’m incredibly proud of how each of you consistently operates with integrity every single day. Watching our organization grow and evolve to help more patients than ever before is truly inspiring!
We’re working to create life-transforming medicines, and with that comes an enormous responsibility—it can even feel a bit daunting at times. We’re all accountable for doing what’s right for the patients that count on us, and for carefully evaluating every business decision against our mission, values, and guiding principles. But here’s the most important thing I want you to remember: You are never alone when facing a tough decision.
This Code is here to be your trusted guide whenever you encounter a dilemma, have a question, or feel a concern. And please know, there are many other resources available to you if you need guidance, want to report something, or simply have a question.
When you’re in doubt, you can always reach out to me, any member of my team, your Executive Committee member, Legal, or your HR Business Partner. Our people are our greatest strength, and we’re all here to support each other.
